REGULATORY NOTICE FOR THE FORMATION OF U.S. LIBERTY MILTECHURITIES LIMITED LIABILITY COMPANY

Organizational Structure: U.S. Liberty Miltechurities LLC is formed as a subsidiary of Liberty Leaf, Inc DBA  U.S. Liberty Military Robotics 

Purpose: To segregate investor capital from U.S. Liberty Military RoboticsTM (Parent C-Corp) for the management of U.S. Department of Defense funds and activities related to the research and development of military inventions for defense contracts and intellectual property. This requirement is in response to Méndez Viera's invention, the United States Liberty Guardians (USLG)TM, a lethal autonomous robotic defense force, being classified as a military critical technology in which the Pentagon has taken a national security interest.

Regulatory Disclosure: As a military inventor selected by the U.S. Department of Defense, Méndez Viera's intellectual property and R&D must occur under Pentagon oversight. The LLC formation is necessary to comply with national security requirements and federal securities regulations while pursuing a DARPA SBIR contract and engaging in fundraising activities for her parent invention the United States Liberty Coin (USLC)® the network regulator currency, under SEC Regulation D Rule 506(c) with accredited and institutional investors. 

US Liberty Military Robotics, as the parent C-Corp, is primarily dedicated to pioneering advanced defense contracting activities. The Company ensures that all technological and contractual developments comply with national security regulations and defense-related standards.

To facilitate capital raising and management, US Liberty Military Robotics has formed a subsidiary LLC, named US Liberty Miltechurities, LLC. This subsidiary is specifically structured to secure and administer investor capital in accordance with SEC Regulation D Rule 506(c). By doing so, US Liberty Miltechurities, LLC can offer investment opportunities to accredited investors while maintaining strict adherence to securities regulations, thus enabling investors to participate in and benefit from future defense contracts.

This structure ensures that the operations of US Liberty Military Robotics in defense contracting remain distinct yet symbiotic with the investment activities managed by US Liberty Miltechurities, LLC.

Key Personnel:

Jánelle Marina Méndez Viera

CEO and Financial Defense Inventor of U.S. Liberty Military Robotics and U.S. Liberty Miltechurities, LLC. With over a decade on Wall Street at JPMorgan, Citi, and Bank of America, Jánelle excelled to become Vice President of Wealth Management and Investments. She was a highly-credentialed licensed investment advisor. While on Wall Street, she launched the Military Sexual Trauma Movement, achieving historical milestones, including New York's Restoration of Honor Act of 2019, the first intersectional military and veterans legislation in U.S. history.

In early 2023, Jànelle received the 2022 Human Rights Award from the U.S. Institute of Human Rights and Diplomacy. By the end of 2023, she was distinguished by the U.S. Patent system as being recognized by the U.S. Department of Defense as the  top military inventor in the United States for her development of critical military technology. Her status and selection as a military inventor led to the formation of U.S. Liberty Military Robotics and U.S. Liberty Miltechurities to comply with Pentagon and SEC regulations and further her technological advancements.

Jeffery Cuskey

Head of Military Affairs, U.S. Liberty Military Robotics. Jeffery has over 20 years of experience as a procurement officer at the O-5 level in the U.S. Navy. He represents and advises USLM Robotics on defense contracting preparations and national security regulations, ensuring the company's compliance in the research and development of military critical technologies.

Judith Erwin

Head of Investor Relations, U.S. Liberty Miltechurities, LLC. With more than 20 years of experience on Wall Street specializing in venture capitalization, Judith launched and led Grasshopper Bank, capitalizing the company to over $136 million before stepping down as CEO. She focuses on capital-raising activities, investor communications, strategic planning, and ensuring compliance with SEC and New York State Department of Finance regulations.

Bill Bailer

Enterprise Fractional CFO for all entities under the organizational structure owned and operated by Financial Defense Inventor Méndez Viera. Bill has over 20 years experience in CFO roles at all size companies from startups to Fortune 500 companies making him an ideal fit for a high commercialization startup. Bailer has led his own startup from ground zero to profitability and selling his business via acquisition, making his particular experience highly valuable to the enterprise. Bill balances the books, ensures compliance with IRS and FinCen reporting requirements, and provides strategic financial advice to attract investor investment and maintain compliance with Department of Defense and SEC financial reporting standards.
